Terms and Conditions of Service — adOndes

1. Acceptance of terms

These Terms and Conditions of Service (the "Terms") govern access and use of the adOndes platform (the "Platform" or "Service") operated by Adondes LLC, a Delaware limited liability company (the "Company", "we", "our").

By registering, accessing, or using the Platform, you fully accept these Terms and our Privacy Policy. If you do not agree, you must refrain from using the Service.

If you accept these Terms on behalf of a legal entity, you declare that you have sufficient authority to bind that entity.

2. Service description

adOndes is a digital advertising platform that connects:

• Consumers (End users): natural persons who interact with advertising, complete actions, and receive rewards.
• Advertisers: natural or legal persons who publish advertising campaigns targeted at segmented Consumers.

The Service includes: - Account registration and management - Catalog of advertisements and campaigns - Tracking system for impressions, clicks, and conversions - Rewards system for Consumers - Analytics and reports for Advertisers - Transactional and marketing notifications (with consent)

adOndes may modify, suspend, or discontinue Service features with reasonable prior notice.

3. User accounts

3.1 Eligibility

To register you must: - Be at least 16 years old (or the minimum legal age applicable in your jurisdiction). - Have legal capacity to enter into contracts. - Not have been previously suspended by adOndes. - If acting on behalf of a legal entity (Advertiser), have sufficient authority.

3.2 Consumer registration

To register a Consumer account you must provide: - Valid email (required · unique identifier) - Express acceptance of these Terms and Privacy Policy - Optional additional data (name, phone, date of birth, address) to complete your profile

3.3 Advertiser registration

To register an Advertiser account you must provide: - Legal name and valid billing details - Commercial contact email - Tax identification (CUIT, RFC, NIT, EIN, or equivalent) - Valid payment method to process campaign charges

3.4 Data truthfulness and updating

You commit to: - Provide truthful, complete, and updated information - Keep your data current from your profile - Notify us of any relevant change (change of legal name, billing details, etc.)

adOndes may suspend or cancel accounts with false, inaccurate, or outdated information.

3.5 Credential security

You are responsible for: - Maintaining the confidentiality of your email and authentication method - All activities performed from your account - Notifying us immediately if you detect unauthorized use (security@adondes.com)

adOndes will not be responsible for losses arising from misuse of credentials under your custody.

3.6 One account per person

It is prohibited to create multiple Consumer accounts by the same natural person with the purpose of obtaining additional rewards or circumventing limitations. Duplicate accounts will be merged or canceled at the discretion of adOndes.

4. Permitted and prohibited use

4.1 Permitted use

You may use the Platform to: - View legitimate advertisements and campaigns - Genuinely interact with advertising content - Accumulate and redeem rewards according to current rules - (Advertisers) Publish campaigns that comply with these Terms and the Content Policy - Access your account statistics

4.2 Prohibited use

It is strictly prohibited to:

• Advertising fraud: automated clicks, bots, click farms, artificial manipulation of metrics to accumulate rewards or inflate performance
• Identity theft or use of third-party information without consent
• Reverse engineering, decompilation, or attempt to extract source code from the Platform
• Mass scraping of the Platform without written authorization
• Injection of malicious code (XSS, SQL injection, CSRF, malware)
• Overloading infrastructure through DoS/DDoS attacks or excessive queries
• Circumventing security mechanisms, rate limiting, or authentication
• Sharing your account with third parties for commercial purposes
• Publishing content that is illegal, fraudulent, discriminatory, violent, sexually explicit, infringing on third-party rights, misleading, offensive, or contrary to good morals (especially applies to Advertisers)
• Promoting products or services illegal in the Consumer's jurisdiction
• Collecting data from other users through the Platform
• Any conduct that violates applicable laws

Non-compliance may result in immediate suspension, account cancellation, loss of accumulated rewards, and/or legal actions.

5. Advertising content (Advertisers)

5.1 Responsibility for content

Advertisers are solely responsible for the content of their advertisements, including: - Truthfulness of advertising claims - Compliance with advertising laws of their jurisdiction (consumer defense, misleading advertising, comparative, etc.) - Intellectual property rights over images, texts, videos, and trademarks - Authorizations from persons appearing in the content - Compliance with sectoral restrictions (medicines, gambling, alcohol, tobacco, financial, etc.)

5.2 Review by adOndes

adOndes may review advertising content before its publication. Approval does not imply endorsement or verification of Advertiser claims.

adOndes reserves the right to: - Reject content that violates these Terms - Suspend ongoing campaigns based on well-founded complaints - Remove content by order of competent authority

5.3 Indemnity for advertising content

The Advertiser undertakes to hold adOndes harmless against any claim arising from the content of its campaigns, including reasonable legal costs.

6. Rewards system (Consumers)

6.1 Accumulation

Consumers may accumulate rewards through: - Viewing complete advertisements - Genuine clicks on advertisements - Conversions (actions completed after click) - Other activities defined by adOndes

6.2 Rules

• Rewards DO NOT have legal tender value
• adOndes determines activity→reward conversion rates and may modify them with 30 days prior notice
• Accumulated rewards have a validity of 12 months from their accreditation, and may expire without use
• Redemption is subject to availability of the current rewards catalog
• Rewards obtained through fraud will be voided without compensation
• adOndes may suspend the account and revoke rewards upon well-founded suspicion of fraud

6.3 Account closure

When closing your account you will lose non-redeemed rewards. We recommend redeeming them before requesting termination.

7. Payments and billing (Advertisers)

7.1 Prices

Campaign prices are published on the Platform and may vary by model (CPC, CPM, CPV, hybrid). Prices are expressed in the indicated currency and DO NOT include taxes unless expressly clarified.

7.2 Billing

• adOndes will issue an electronic invoice in accordance with applicable tax regulations
• Invoices are issued at the close of the billable period (monthly by default)
• Billing details must be truthful and kept up to date

7.3 Payment methods

We accept the payment methods indicated on the Platform. Processing is performed through a certified payment provider. adOndes does NOT store complete credit card numbers.

7.4 Default

Failure to pay on time may result in: - Suspension of active campaigns - Default interest according to applicable law - Block on creation of new campaigns - Account cancellation and out-of-court or judicial collection actions

7.5 Refunds

Paid and delivered campaigns (impressions served) are NOT refundable, except: - Technical error attributable to adOndes - Cancellation prior to effective start - Express written agreement with adOndes

Refund requests should be directed to billing@adondes.com within 30 days of the charge.

8. Intellectual property

8.1 adOndes ownership

The Platform, its source code, design, interfaces, logos, trademarks, editorial texts, and databases are property of adOndes or its licensors, protected by copyright, registered trademarks, and other intellectual property laws.

These Terms do NOT transfer any intellectual property rights to you over the Platform.

8.2 License to use

adOndes grants you a personal, non-transferable, non-exclusive, and revocable license to use the Platform in accordance with these Terms.

8.3 User content

You retain ownership of the content you upload (Advertiser: advertising creatives; Consumer: profile picture, bio). By uploading it, you grant adOndes a worldwide, free, non-exclusive license to use, reproduce, adapt, and display it on the Platform for the purpose of providing the Service.

8.4 Intellectual property infringement complaints

If you consider that content published on the Platform infringes your intellectual property rights, send us a notification to legal@adondes.com with: - Identification of the infringing content - Proof of ownership of the rights - Your contact information - Sworn statement of good faith

Intellectual Property Notice

The ADONDES platform, including its voluntary consumer-provider relationship model, 3D cylindrical category interface, QR-based physical attribution, and advertiser-funded cash reward system, is the subject of a pending U.S. patent application. Patent Pending.

9. Service availability

9.1 Best effort

adOndes makes its best effort to keep the Platform available 24/7, but DOES NOT guarantee uninterrupted availability or absence of errors.

Interruptions may occur due to: - Scheduled maintenance (announced in advance when possible) - Technical or provider failures - Force majeure or fortuitous events - Security attacks - Regulatory decisions

9.2 No standard SLA commitment

Unless there is a specific written agreement (Enterprise Agreement with large Advertisers), adOndes does not commit to a specific SLA. Reasonable interruptions DO NOT generate the right to compensation or refund.

10. Limitation of liability

10.1 Service "as is"

The Platform is provided "as is" and "as available", without express or implied warranties beyond those non-waivable by law.

10.2 Damage limitation

To the maximum extent permitted by law, adOndes will NOT be liable for: - Indirect, consequential, special, punitive damages - Lost profits or loss of opportunity - Data loss not attributable to gross negligence of adOndes - Acts or omissions of third parties (Advertisers, Consumers, providers) - Advertising content of Advertisers - Use of the Platform in violation of these Terms

The maximum aggregate liability of adOndes to a user, for any concept, is limited to the amount actually paid by that user to adOndes in the last 12 months, except in cases of willful misconduct, gross negligence, or damages not limitable by law.

10.3 Legal exceptions

Nothing in this clause limits non-waivable consumer rights under applicable legislation (Consumer Defense Law in Argentina, Consumer Defense Code in Brazil, CCPA, etc.).

11. Indemnification

You undertake to hold adOndes, its directors, employees, and providers harmless against any claim, demand, damage, loss, or expense (including reasonable legal fees) arising from: - Your non-compliance with these Terms - Your violation of applicable laws - Your infringement of third-party rights - (Advertisers) Advertising content of your campaigns - Improper use of your account

12. Suspension and termination

12.1 By adOndes

adOndes may suspend or cancel your account, total or partially, without prior notice in case of: - Material violation of these Terms - Detected fraud or well-founded suspicion of fraud - Prolonged default (Advertisers) - Abusive conduct against other users or adOndes personnel - Requirement of competent authority - Duly justified technical or security reasons

In less serious cases, we will send prior notice allowing the situation to be regularized.

12.2 By the user

You may close your account at any time from your profile settings or by writing to support@adondes.com. Termination is effective within 72 business hours, subject to settlement of pending obligations (Advertisers).

12.3 Effects of termination

• Immediate loss of access to the Platform
• (Consumer) Loss of non-redeemed rewards (except termination for cause attributable to adOndes)
• (Advertiser) Closure of active campaigns and issuance of final billing
• Data conservation according to Privacy Policy §8
• Survival of clauses that by their nature must survive (limitation of liability, indemnification, intellectual property, applicable law)

13. Modifications to the Terms

adOndes may modify these Terms periodically. Substantial modifications will be notified to you at the registered email at least 30 days in advance of their entry into force.

If you DO NOT agree with the changes, you may close your account before the effective date. Continued use of the Platform after the effective date implies acceptance of the new Terms.

Non-substantial modifications (typographical corrections, clarifications that do not affect substantive rights) may take effect immediately upon publication on the Platform.

14. Applicable law and jurisdiction

14.1 Applicable law

These Terms are governed by the laws of the State of Delaware, United States of America.

14.2 Jurisdiction

For any controversy arising from these Terms, the parties submit to the jurisdiction of the ordinary courts of the State of Delaware, expressly waiving any other forum, except: - When the user is a consumer: the consumer's domicile forum prevails when the law establishes it as non-waivable. - When a competent regulatory authority determines otherwise.

14.3 Alternative dispute resolution

Before initiating legal actions, the parties will attempt to resolve the controversy in good faith through direct negotiation for at least 30 days. If it fails, they may resort to voluntary mediation.

This does not prevent the consumer user from going directly to the consumer defense authority of their jurisdiction.

15. Communications

15.1 adOndes notifications to user

We will send communications to the email registered in your account. It is your responsibility to keep that email updated and accessible.

Notifications will be considered delivered at the time of sending, except for verifiable technical error.

15.2 User notifications to adOndes

16. General provisions

16.1 Entire agreement

These Terms, together with the Privacy Policy and any specific agreement you sign with adOndes (Enterprise Agreement, campaign addenda, etc.), constitute the entire agreement between the parties and replace all prior communication.

16.2 Assignment

You may NOT assign these Terms without written consent of adOndes. adOndes may assign these Terms in case of merger, acquisition, or corporate restructuring, notifying you in a timely manner.

16.3 Severability of clauses

If any clause of these Terms is deemed invalid or unenforceable, the others will remain in full force. The invalid clause will be replaced by an equivalent one reflecting the original intent to the extent legally possible.

16.4 Waivers

The failure of adOndes to enforce a right does not constitute a waiver of that right. Waivers must be express and in writing.

16.5 Force majeure

Neither party will be responsible for non-compliance caused by events outside its reasonable control (force majeure, fortuitous event, government decisions, massive cyber attacks, pandemics, etc.).

16.6 Independence of the parties

These Terms do not create labor relationship, partnership, joint venture, agency, or representation between the parties. Each party acts on its own account.

16.7 Language

The English version of these Terms is the official one. Any translation is referential and, in case of discrepancy, the English version prevails, unless the local consumer legislation requires otherwise.
